Terms of Service

1. Agreement to Terms

By accessing or using Pro-cess eBay Manager ("the Service"), operated by Pro-cess Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, you must not use the Service.

These terms apply to all users of the Service, including registered account holders and visitors.

2. Description of Service

Pro-cess eBay Manager is a web-based platform that helps eBay sellers manage their listings, schedule publications, synchronise orders and messages, track inventory, and analyse profit and loss. The Service integrates with eBay's APIs to provide these features.

The Service is not affiliated with, endorsed by, or operated by eBay Inc. eBay is a registered trademark of eBay Inc.

3. Account Registration

  • You must be at least 18 years old to create an account.
  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining the security of your account credentials.
  • You must not share your account with others or allow unauthorised access.
  • You must notify us immediately at support@pro-cess.co.uk if you suspect unauthorised access to your account.

4. Free Trial

New accounts receive a 14-day free trial with access to core features and limited usage allowances. No payment information is required for the trial period. When the trial expires, you must subscribe to a paid plan to continue using the Service.

5. Subscription and Billing

  • Paid subscriptions are billed monthly in GBP (£) via Stripe.
  • Subscriptions auto-renew unless cancelled before the next billing date.
  • You may upgrade, downgrade, or cancel your subscription at any time through the billing portal.
  • Downgrades take effect at the end of the current billing period.
  • Refunds are not provided for partial months, except where required by law.
  • We reserve the right to change subscription prices with 30 days' notice. Existing subscribers will be notified by email before any price change takes effect.
  • If payment fails, we may suspend access to your account until payment is resolved.

6. eBay API and Third-Party Services

  • The Service relies on eBay's APIs, which are subject to eBay's own terms, rate limits, and availability.
  • We are not responsible for eBay API outages, changes, or restrictions that may affect the Service.
  • By connecting your eBay account, you authorise us to access your eBay data within the scope of the OAuth permissions you grant.
  • You may revoke access at any time by disconnecting your eBay account in your Pro-cess settings or via eBay's third-party access settings.
  • You remain fully responsible for compliance with eBay's policies and terms of use.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to facilitate illegal activity.
  • Attempt to gain unauthorised access to our systems, other users' accounts, or data.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use the Service to violate eBay's terms of service or listing policies.
  • Scrape, crawl, or extract data from the Service by automated means (other than through our intended interface).
  • Resell, sublicence, or provide access to the Service to third parties without our written consent.

8. Data Ownership

  • You retain ownership of all data you provide or sync through the Service (listings, products, orders, etc.).
  • We do not claim any intellectual property rights over your content.
  • You grant us a limited licence to store, process, and display your data solely for the purpose of operating the Service.
  • Upon account deletion, your data will be removed in accordance with our Privacy Policy.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance, during which the Service may be temporarily unavailable. We are not liable for downtime, data loss, or service interruptions caused by factors beyond our reasonable control.

10. Limitation of Liability

  • The Service is provided "as is" without warranties of any kind, express or implied.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, sales, or data.
  • Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
  • We are not responsible for actions taken by eBay (account suspensions, listing removals, policy changes) that may affect your use of the Service.
  • Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

11. Termination

  • You may terminate your account at any time by contacting us or using the account deletion feature.
  • We may suspend or terminate your account if you violate these terms, engage in fraudulent activity, or fail to pay subscription fees.
  • Upon termination, your access to the Service will cease. Data deletion will follow our Privacy Policy.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the platform at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
